1. Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of the website smartbizservices.ai (the "Site") and the services provided by Smart Business Services LLC, a Utah limited liability company ("we", "us", "our"). By accessing the Site, requesting a consultation, or engaging us for services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

2. Services Description

We provide local search marketing services for service-based businesses, including:

• Google Business Profile optimization and management
• Local pack and Google Maps ranking improvement
• AI search visibility and answer-engine optimization
• Local website SEO, schema markup, and content production
• Citation building and NAP consistency
• Review generation, monitoring, and response management

All engagements are sold as monthly service agreements that are scoped, priced, and confirmed offline through a consultation call. The Site itself does not process payments or sell services directly; it is a marketing and lead-generation platform.

3. No Guarantee of Results

Search engine rankings, AI search recommendations, lead volume, and revenue outcomes are influenced by many factors outside our control, including search-engine and AI-platform algorithms, competitor activity, market conditions, your business operations, and your responsiveness to our recommendations. We do not guarantee any specific ranking position, placement in the local pack, inclusion in any AI overview, traffic increase, lead quantity, or revenue result. Statements regarding typical outcomes are illustrative, not promised deliverables.

4. Payment and Cancellation

Service fees, payment terms, and scope are set out in the individual service agreement signed by you and us, and are billed monthly. Engagements are month-to-month with no long-term contracts, unless otherwise expressly agreed in writing. Either party may terminate the agreement effective at the end of the then-current billing month by providing written notice before that month's renewal date. Fees already paid for a billing month are non-refundable except as expressly stated in the service agreement.

5. Intellectual Property

The Site, including its design, copy, logos, graphics, and code, is owned by Smart Business Services LLC and is protected by United States and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any portion of the Site without our prior written consent. Deliverables we produce specifically for you under a paid service agreement (such as written content, schema, or optimized assets) are licensed to you for use in your business as set out in that agreement. Third-party platforms (such as Google, ChatGPT, Gemini, Perplexity, Copilot, Yelp, and others) and their respective marks are the property of their owners.

6. Limitation of Liability

To the fullest extent permitted by law, in no event will Smart Business Services LLC, its members, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost business opportunity, arising out of or related to the Site or our services, even if we have been advised of the possibility of such damages. Our total cumulative liability arising out of or related to the Site or our services shall not exceed the amount actually paid by you to us in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow these limitations, in which case they apply to the maximum extent permitted.

7. Privacy

Our handling of personal information you provide through the Site is described in our Privacy Policy. By using the Site, you consent to the practices described there.

8. Third-Party Services

The Site embeds a booking widget hosted by GoHighLevel (HighLevel, Inc.) for scheduling consultation calls. Information you submit through that widget is transmitted to and processed by GoHighLevel on our behalf, subject to GoHighLevel's own terms and privacy practices. We are not responsible for the operation, availability, or security of third-party platforms, including but not limited to GoHighLevel, Google, and AI search platforms. Your interactions with those third parties are solely between you and them.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or our services shall be the state or federal courts located in Cache County, Utah, and you and we consent to the personal jurisdiction of those courts.

10. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page. Material changes will take effect when posted, and your continued use of the Site after that date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Site.
